Accountancy services can cover a fairly broad range of areas, so this document sets out the exact services the Accountancy Company are providing, to whom and on what terms. This means that both sides are clear as to what has been agreed.

You should consider the following:

  • What other documents do you want this agreement to be read in conjunction with e.g. website or platform policies e.g. Privacy Policy, Cookie Policy, Website Terms of Use?
  • The agreement allows you to distinguish between ‘standard’ and ‘tailored’ services. A standard service might consist of the Accountant Company compiling month end profit and loss accounts or year-end filings to HMRC, whereas tailored services might relate to providing relevant financial information in relation to a proposed transaction that the client wants to enter into.
  • You should consider what services you want the agreement to cover, on what basis and how will the Accountant Company will be paid i.e. will the client pay a monthly subscription and/ or will pay a one off flat fee?
  • Are there any agreed special terms between the Accountant Company and the client e.g. disbursements (i.e. costs incurred by the Accountant Company to enable the work to be performed); what arrangements will the Accountant Company have for paying these? Will prior client authority be needed? Will there be a spend limit? How will disbursements be paid? Will the Accountant Company ask for money on account etc (consider any regulatory implications of holding client money on account).
  • Detail any specific software packages relevant for the work e.g. where a Software as a Service (SaaS) may be accessible by the client. Are there any licensing arrangements necessary for software or access to other intellectual property?
  • Length of term and Termination arrangements – how long do you want the agreement to have effect? What basis can either side give notice of termination?
