This agreement is used when Business A engages the services of Business B to manufacture and supply a product designed by Business A.

Product Description

You should consider the following:

  • How long is the agreement to have effect? Is Business B to manufacturer and supply the product indefinitely? Or for a fixed period of weeks or months? Will the agreement set out a set number of products to be manufactured and/or supplied?
  • Will delivery costs be included in the agreed fees to be paid to Business B for manufacture of the products?
  • Are Business A or B VAT registered? Will VAT be included in the costs?
  • Clause 3. 6 – Will Business B be responsible for costs of the packaging of the product? Will they be responsible for insuring the product whilst in transit to Business A? If so, how much will the insurance have to cover?
  • Clause 8.2 – What information does Business A need to have included in the packaging note? Depending on where the product is to be shipped there may be legal notices to be included. Is Business B to be responsible for this?
  • Clause 8.3 – How is the product to be delivered to the customer? Is this covered in the product specification?
