Collaboration & Revenue Share Agreement (B2B)

You should consider the following:

• What are the products or services being provided by each party? Be as specific as possible.
• What is the target market to promote and sell the resultant product to?
• What will each business do as part of the agreement? What are their obligations?
• What dates will the agreement come into effect and how long will the agreement last for?
• How will revenue be split between the parties? On what basis will success and or performance of the parties be measured e.g. a successfully concluded “Customer Agreement”?
• Who will own any intellectual property brought to the collaboration and the newly created intellectual property?
• What will the termination arrangements do you want to include? Written notice? How long will the notice period be?
• How do you want to deal with any claims that may arise in relation to the project? Will you both be liable or will you be able to claim against the other party in the event that their negligence etc has caused the claim? Clause 10.3 provides for a mutual cap on liability.
