By signing this agreement the recipient person or company is agreeing that they will not use any such confidential information outside the scope of the agreement to their advantage either by competing directly with the other party or by approaching the other parties’ clients in an attempt to obtain their business.

Description

You should consider the following:

  • What do you want to include within the definition of “Confidential Information” – think about what area of your business the recipient may be given access to and what they may seek to exploit. You should try to be as specific as possible here.
  • Do you want to set a time limit on how long the recipient should agree to not using the Confidential Information for? Is there a time when the Confidential Information will cease to be relevant to your business and will therefore not need protecting?
