Image Reproduction & Exclusive Licensing Agreement (B2B)

This agreement is used when a business (Licensor) acting as e.g. an agent on behalf of the owner of one or more artistic works (e.g. painting or photographs or sculpture) etc (the ‘Licensed Images’) agrees to grant certain Licensed Rights in respect of the Licensed Images to the Licensee (in law this is called granting a license, a license is essentially a permission) to enable the Licensee to e.g. reproduce the Licensed Images to create new Licensed Products which they can then sell. In this Agreement, the licence granted is ‘exclusive’ and limited to sale throughout the “Retail Network” (as defined) and the “Territory” (as defined). The licence could be restricted to be a non-exclusive one with some further tailoring.

Description

You should consider the following:

  • How long will the licence last?
  • What Licence Fees will be payable?
  • Will there be one or more Minimum Guarantees payable in advance by the Licensee in consideration of the exclusivity being granted?
  • Will the Minimum Guarantee amounts be recoupable within the Royalties payable on sales?
  • Clause 2.4 deals with what limitations exist for the Licensee to deal with orders of Licensed Products from outside the agree Territory.
  • Clause 13.3 limits the liability of the Licensee. The parties need to agree if this liability is to be limited to any royalties accrued by the Licensee? if so, over what period?
