This letter of agreement should be used in situations where one company engages the services of another party in the capacity of an employee, consultant, intern or similar and that as a result of this engagement this party will have access to confidential or sensitive information belonging to the Company.

This agreement sets out the understanding that the engaged party will not use the company’s confidential information to their own benefit.

Description

You should consider the following:

  • How long do you want this agreement to have effect? Does it only apply to the period of the engagement, or do you want it to apply for a period after the engagement ends, or indefinitely?
  • What do you want to include within the definition of ‘Confidential Information’? This could apply to software packages or other forms of data used by the company as well as other potentially share or market sensitive information (for example profit and loss projections or plans for expansion).
  • What contingency arrangements would you need to have in place to protect this information if the employee, consultant, intern or similar breaks the agreement?
